The first of these: the ‘Transfer of IP Agreement’ is a tri-party agreement between yourself, your Software Developer and SES which protects your investment when you have bespoke Software applications developed.

Having your Software Developer deposit into Escrow will secure the development trail and guarantee that the end product is independently witnessed, validated and available to you once the final payment has been completed. This provides the security that you are getting what you paid for.

The true value to this agreement lies in the Remote Code Validation Test performed on the application once it is complete. This test involves an SES Testing Consultant witnessing a full rebuild of the application via a secure remote connection and documenting the entire process. Once the validation test is complete, you will be provided with an audio and visual recording of the build which not only ensures you have the materials to accurately rebuild the application, but also an understanding of how the application is built, enabling you to continue supporting and developing the application going forward.

The Remote Code Validation Test is essential to this agreement as without there are no guarantees the final application will be complete and accurate. Also, you won’t possess the knowledge of how the application has been created which will simplify the ongoing support and development process.
